1. The agreement
These terms are an agreement between you and Vupie ApS ("Vupie", "we", "us"), CVR 44108879, Denmark, about your use of vupie.com and Vupie Studio (together, "the service"). By creating an account or using the studio you accept them. If you use Vupie for a company, you accept them on its behalf and confirm you may do so. Our privacy policy explains how we handle personal data.
2. The private beta
Vupie is in private beta and open by invitation. Features will change, some will be added or removed, and things can break. We may change or stop parts of the service, and we will give reasonable notice before we stop the service as a whole so you can download your films.
3. Your account
- You must be at least 18 and use Vupie for your business or profession.
- Keep your sign-in details to yourself. You are responsible for what happens in your account, and should tell us at once if you think someone else has used it.
- Give us correct information, and keep your email address up to date so we can reach you.
4. The service and its providers
Vupie writes scripts, generates footage and narration, adds motion graphics and renders finished films. To do that it uses third-party AI models and services, including Claude by Anthropic, voices by ElevenLabs, and video models such as Seedance, Veo and Kling, reached through Kie.ai. Which models are available can change as better ones appear or providers change their offer.
Those providers have their own usage policies. When you use Vupie you also agree not to ask it for anything those policies forbid, and we may refuse or stop a generation that would break them.
5. Your content
"Your content" means everything you put into Vupie: ideas, scripts, prompts, instructions, uploaded images, logos, data and other files. You keep all rights in it. You give us a limited licence to store, copy, process and transmit your content, including to the providers in section 4, only as needed to run the service for you, keep it secure and fix problems. The licence ends when your content is deleted, except for copies we are required by law to keep.
You confirm that you have the rights and permissions needed for your content, including the consent of any recognisable person in it, and that using it in Vupie does not break the law or anyone else's rights.
6. Your films
As between you and us, you own the films, scripts, footage, narration and other output Vupie makes for you, and you may use them for any lawful purpose, including commercial use, subject to section 4. We claim no rights in them, other than the limited licence in section 5 to store and process them for you.
Please keep in mind:
- AI-generated material may not be protected by copyright in every country, so others may be free to use similar material.
- Generative models can produce output that is similar to output made for other people. You do not get exclusive rights to an idea, a style or a generic shot.
- Output can by accident resemble a real person, brand, logo or protected work. Check your film before you publish it, and do not use output that does.
7. Acceptable use
Do not use Vupie to make, or to try to make:
- anything illegal, or that infringes copyright, trademarks or other rights;
- sexual content involving minors, of any kind, or sexual or intimate content of a real person without their consent;
- content that shows a real, identifiable person, or uses their face or voice, without their permission, or that impersonates a person or organisation;
- deceptive content that presents invented events, statements or results as real, including fake news, election disinformation, fake reviews or testimonials, or fraudulent financial claims;
- content that harasses, threatens or promotes violence or hatred against people based on who they are;
- content that gives instructions for serious harm, such as weapons capable of mass casualties.
Also do not attack, overload, scrape or reverse engineer the service, get around its limits or security, resell access without our agreement, or share an account.
Label AI content where the law asks for it. Some laws, including the EU AI Act, require you to disclose that realistic images, audio or video were artificially generated or manipulated, especially when they show people, places or events that look real. When you publish a Vupie film, you are responsible for meeting those requirements.
8. Checking your film
AI makes mistakes. Scripts can contain errors, footage can contain artefacts or unwanted marks, and narration can mispronounce words. Vupie helps, for example by checking every number in a film against your table of facts, but those checks depend on the facts you enter and do not replace your own review. You are responsible for what your film says and shows, and for checking it before you publish it.
9. Fees
During the private beta, Vupie is provided on the terms in your invitation, and is free unless we have agreed otherwise in writing. We will tell you before paid plans start, and nothing is charged without your agreement. If you then choose a paid plan, the prices and billing terms shown when you choose it apply.
10. Our rights
The service, its software, design, templates and the Vupie name and logo belong to us or our licensors. These terms do not give you any rights in them beyond using the service. If you send us feedback or ideas, we may use them without owing you anything.
11. Suspension and ending
You can stop using Vupie and ask us to close your account at any time. We may suspend or close an account that breaks these terms, puts the service or others at risk, or is required to be closed by law. Where reasonable we will warn you first and give you the chance to download your films. After an account is closed, we delete its content as described in the privacy policy. Sections 6, 10 and 12 to 16 continue to apply after the agreement ends.
12. No warranty
The service is in beta and is provided "as is" and "as available". To the extent the law allows, we make no promises that it will be uninterrupted, error-free or fit for a particular purpose, or that output will be accurate, unique or free of third-party rights.
13. Liability
To the extent the law allows, we are not liable for indirect or consequential loss, such as lost profits, revenue, data or goodwill. Our total liability under these terms is limited to the greater of the amount you paid us in the twelve months before the claim and EUR 100. Nothing in these terms limits liability that cannot be limited by law, such as liability for intent or gross negligence.
14. Claims caused by your content
If someone makes a claim against us because of your content, or because of how you used the service or a film in breach of these terms, you will cover our reasonable costs and losses from that claim. We will tell you about the claim promptly and let you take part in handling it.
15. Changes
We may update these terms as the service grows. We will update the date at the top and tell you by email at least 14 days before a material change takes effect. If you do not agree, you can stop using Vupie and close your account before then.
16. Law and disputes
These terms are governed by Danish law. Disputes go to the Danish courts. If you are a consumer, you keep the protection of the mandatory rules of the country where you live.
